π Veetz Data Migration Services Terms

Welcome to the Veetz data migration service! To ensure a smooth and secure transition to our platform, we have created service packages designed for your needs.
This document sets forth the terms and conditions for the data migration services ("Services") offered by IVATEC through its Veetz platform. The purchase of any service tier and the use of the import tool imply the full and unconditional acceptance of these terms.
1. Service Descriptionsβ
Veetz offers two service tiers to help you bring your existing data to our platform:
1.1. Tier 1: Veetz DataBridge (Standard)β
In this tier, the CLIENT is responsible for extracting the data from their source system and providing it to Veetz in one of the supported formats (.xls
, .xlsx
, or .csv
). There is no need to follow a specific model or template.
Our technical team will then analyze the structure of the provided data and use its best efforts to map and import it into the Veetz platform's data structure. Due to potential incompatibilities between the source data structure and the Veetz structure, there is no guarantee that all data fields or records can be migrated. Veetz will prioritize the migration of essential data, such as client and patient records.
1.2. Tier 2: Veetz DataBridge Concierge (Premium)β
In this premium tier, the Veetz team actively assists the CLIENT with data extraction from the source system. This service includes a remote work session (via video call) to access the third-party system under the CLIENT's supervision to perform the data export.
Specific conditions for this tier are detailed in Section 7.
2. Onboarding and Execution Workflowβ
2.1. Purchase: The CLIENT must purchase one of the migration packages ("DataBridge" or "DataBridge Concierge") through the official Veetz store, with payment processed by Stripe.
2.2. Access Grant: Upon confirmation of payment, a new menu option, Import Data
, will be automatically enabled in the CLIENT's account within the Veetz application, under the Settings
menu.
2.3. Import Page: By accessing this option, the CLIENT will be directed to the secure migration page (located at veetz.app/settings/import
or an equivalent URL).
2.4. Acceptance and Upload: On this page, the CLIENT must: a) Reaffirm their agreement to these Terms of Service by checking the corresponding box. b) Upload the data files required for the migration.
2.5. Start of Term: The service execution timeline, stipulated in Section 3.2, begins only after the CLIENT has uploaded all requested files through the platform.
3. Veetz's Obligationsβ
3.1. Service Execution: Veetz agrees to use its best efforts to perform the data migration in a diligent and professional manner.
3.2. Timeline: The service will be performed within up to 15 (fifteen) business days, starting from the date the CLIENT uploads the files.
3.3. Proactive Communication: Veetz agrees to confirm receipt of the data within 24 business hours and to provide status updates on the migration every 3 (three) business days or whenever a major milestone is reached.
3.4. Confidentiality: Veetz guarantees the privacy and confidentiality of all data provided by the CLIENT, using it exclusively for the purpose of the migration.
4. CLIENT's Obligationsβ
4.1. For both tiers: The CLIENT is solely responsible for the legality, accuracy, and ownership of the provided data. They must also be available to validate information when requested.
4.2. Specific to "Veetz DataBridge (Standard)": The CLIENT must ensure that the submitted data is in the correct format and is as "clean" as possible, following Veetz's guidelines.
4.3. Specific to "Veetz DataBridge Concierge": The CLIENT must ensure availability for the remote extraction session and provide the necessary access during the call, as per Section 7.
5. Warranties and Limitation of Liabilityβ
5.1. Process Complexity: The CLIENT acknowledges that data migration is a complex process and is subject to incompatibilities.
5.2. No Guarantee of 100% Success: Due to the nature of the service, Veetz does not guarantee that 100% of the data will be migrated with full integrity. Partial data loss or failure to migrate specific records may occur due to inconsistencies or corrupted data.
5.3. Validation: Upon completion, the CLIENT will have 5 (five) business days to validate the migrated data and report any significant discrepancies.
6. Cancellation and Refund Policyβ
6.1. The CLIENT may request a cancellation and a full refund of the amount paid before uploading the data files on the Veetz platform.
6.2. Once the files are submitted through the platform, the service is considered to have started, and the amount paid for the package is non-refundable, as the investment in technical hours has already been allocated.
7. Specific Terms for "Veetz DataBridge Concierge" Serviceβ
7.1. Purpose and Technical Prerequisites: By purchasing this tier, the CLIENT understands that the success of the data extraction by the Veetz team depends on the technical prerequisites of their source software. Service execution is contingent upon the existence of at least one of the following access methods: a) Via Built-in Export Functionality: The CLIENT's third-party software must have a native feature that allows for data export (e.g., to Excel, CSV, or other readable formats). b) Via Direct Database Access: If method (a) is not available, the CLIENT must be able to provide Veetz with direct access credentials to the software's database (e.g., for PostgreSQL, MySQL, SQL Server, etc.).
7.2. Access Authorization and Client Responsibility: The CLIENT grants IVATEC/Veetz express authorization to, during a supervised remote session, access their system via one of the methods described in Section 7.1. The CLIENT is responsible for ensuring they have the necessary authority to grant this access and for providing the correct credentials during the session.
7.3. Execution Limitations and Policy for Technical Impracticability: Veetz will use its best technical efforts to perform the extraction. However, if, during the initial diagnostic session, it is determined that neither of the extraction methods described in Section 7.1 is technically feasible due to limitations of the source software, the "Concierge" service will be deemed impracticable.
- In this specific scenario, Veetz will document the technical impossibility, and the CLIENT will have the option to: a) Downgrade to the "Veetz DataBridge (Standard)" service: The CLIENT may choose to perform the data extraction themselves. The amount paid will be converted, and the price difference will be issued as a credit toward future Veetz subscriptions or services. b) Request a partial refund: The CLIENT may request the cancellation of the service and receive a partial refund of 80% of the amount paid. The 20% withheld covers the cost of the time and technical diagnostic work already performed by the Veetz team.
7.4. Secure Procedure and Credential Management: Access will preferably be conducted via screen sharing, with the CLIENT entering their own credentials. Veetz agrees not to store any of the CLIENT's passwords or access credentials after the extraction session is complete.
7.5. Disclaimer of Liability for the Source System: Veetz is not responsible for any failures, data loss, or instabilities in the third-party system, as its actions are limited to operating existing export or "read-only" query functions under the CLIENT's supervision.
8. Dispute Resolution and Arbitrationβ
8.1. Amicable Negotiation: In the event of a dispute arising from or related to these Terms, the parties shall first attempt to resolve the dispute through amicable negotiation.
8.2. Binding Arbitration: If the dispute cannot be resolved through negotiation within 30 days, it shall be definitively settled by binding arbitration. The arbitration shall be administered by a recognized international arbitration institution, such as the International Chamber of Commerce (ICC), in accordance with its rules. The arbitration shall be conducted in English, and the place of arbitration shall be determined by the institution, potentially through virtual means. The decision of the arbitrator shall be final and binding on both parties.
